AMD and OpenAI Announce Strategic Partnership to Deploy 6GW of AMD GPUs

OpenAI and AMD have signed a multi-year agreement to deploy 6GW of AMD Instinct GPUs for building next-generation AI infrastructure. This collaboration is a strategic partnership spanning multiple generations of hardware and software cooperation.

As the first phase, deployment of 1GW of AMD Instinct MI450 series GPUs is scheduled to begin in the second half of 2026. Both companies plan to share technical expertise to optimize product roadmaps and accelerate large-scale AI deployment.

To align strategic interests, AMD has issued OpenAI a warrant to receive up to 160 million shares of AMD common stock. The exercise of the warrant will proceed in stages depending on the achievement of the following milestones:

• The first tranche exercises upon the initial 1GW deployment
• Additional tranches exercise as the purchase scale expands to 6GW
• Achievement of AMD's stock price targets and OpenAI's technical and commercial milestones

Through this partnership, AMD is expected to generate tens of billions of dollars in revenue, while OpenAI secures the computing capacity needed to realize the potential of AI.
